Switzerland’s takeover watchdog said that Chinese conglomerate HNA provided “untrue or incomplete” information regarding its ownership when it acquired air services company Gategroup for SFr1.4bn last year.

The Swiss Takeover Board, citing several FT articles, has homed in on the declared holdings of two shareholders in the group, calling information that the company originally provided “untrue or incomplete”.

In its prospectus for the buyout of Gategroup in May 2016, HNA said Bharat Bhise and Guan Jun held 17.40 per cent and 12.35 per cent of the company respectively. However, following several new disclosures in 2017, the group has said the two individuals owned 17.15 per cent and 12.01 per cent.

The statement from the takeover board also said that Mr Bhise and Mr Guan held the stakes as trustees for the co-founders of HNA, another piece of information that the company should have disclosed when it tendered the offer for Gategroup.

In response to the discrepancies in information, the board has asked EY to examine whether best price rules were followed during the buyout. It has also asked HNA to pay a fee of SFr50,000 ($51,000) for the cost of the proceedings.
